how do I do this.

get a qrcode
resize it up to 100%
rotate 45 degrees
make it almost white

on a top layer paste the original b/w qrcode

I want a f/x of the "white" background qrcode rotating, re-sizing to original size and getting dark.
Is there a f/x to do it or I must do it step by step?

What software you using? Also, is this an animation you're talking about? It sounds like a simple animation, you can do these in PHotoshop, Illustrator, Flash, and HTML5 (do a google search)
